Waiver of Liability, Assumption of Risk, Covenant Not to Sue, and Indemnification Agreement

Please read carefully before signing.

This Agreement voluntarily eliminates certain legal rights you might otherwise have.
In consideration for my being permitted to participate in the activities of The Grand Hotel HuntClub, Inc. (hereafter “GHHC”), which include hunting trips on real estate owned by EV Ranch, LLLP (hereafter “Owner”) and may utilize the outfitting services of Hunter Creek Outfitters, Inc.(“hereafter “Outfitter”), I make the following representations and agree as follows:

1. Representations and Acknowledgements. I have voluntarily chosen to participate in outdoor big game hunting activities hosted by GHHC (hereinafter referred to as a “Hunt” or “Hunts”). I accordingly understand, represent and acknowledge the following:

• I understand and acknowledge that GHHC is a not a guide service and makes NO

WARRANTIES, PROMISES, or GUARANTEES that the Hunts are safe. I understand that GHHC has not verified or approved the safety of the Hunts. It is solely my responsibility to determine whether I think the Hunts expose me to an unreasonable risk of harm or loss;

• I understand and acknowledge that during GHHC Hunts I may be exposed to a variety of

hazards and risks, foreseen or unforeseen, which are inherent in each GHHC Hunt, including but not limited to: falling rocks, falling trees, landslides, inclement weather, lightning, avalanches, flash flooding, wildfires, hostile or aggressive wildlife, hostile or aggressive dogs, poisonous snakes, insect bites, bee stings, poisonous plants, falls, fractures, lacerations, concussions, hypothermia, frostbite, snow blindness, dehydration, heat exhaustion, heat stroke, sunburn, acute mountain sickness, negligence of others, drowning, becoming lost, being left alone, and/or death. These hazards and risks could cause injury or damage of any nature, including property damage, serious personal injury, and even death;

• I understand and acknowledge that during GHHC Hunts I may be exposed to (a) the risk of handling firearms and being near others that have firearms in their possession, (b) the risk of injury from ammunition and shot from other guns, (c) the risk of injury from my use or use by others of knives, saws and other game processing implements, and (d) the risk of injury from riding in jeeps or other all-terrain vehicles on dirt and rock trails and other off road conditions. These hazards and risks could cause injury or damage of any nature, including property damage, serious personal injury, and even death;

Waiver of Liability, Assumption of Risk, Covenant Not to Sue, and Indemnification Agreement• I am aware and understand that injuries and damages can occur by natural causes, activities of other persons, animals, plants, GHHC, other Hunt participants, or third parties, either as a result of negligence or because of other reasons;

• I am aware and understand that I may be exposed to risks if I decide to leave early and do not complete a GHHC Hunt as planned. In addition, I am aware and understand that I may be exposed to risks if I decide to leave the GHHC group during a Hunt and walk/hike/hunt without the group. Likewise, I am aware and understand that I may be exposed to risks if GHHC has concluded the GHHC Hunt, and I decide to continue without oversight from GHHC. I further understand that during GHHC Hunts, there may not be rescue or medical facilities, first aid, or the expertise necessary to adequately address any injuries and damages to which I may be exposed. I am aware and understand that GHHC assumes no responsibility for providing medical care or first aid during the Hunts, and I will have to pay for any medical care and/or evacuation costs that I incur;

• In the event of an injury or other emergency situation, GHHC, Owner, Outfitter and any Hunt participant shall be afforded all benefits of a Good Samaritan if rendering assistance;

• I am aware and understand that GHHC is not required to provide me with any accident insurance, including life, medical, motor vehicle, or liability, for any illness, accident, injury, loss, or damage that may arise in connection with my participation in or attendance at any GHHC Hunt. If I want insurance of any kind, I understand that I must obtain my own insurance;

• I am aware and understand that GHHC does not include carpooling, transportation, or transit to and from the location of any Hunt, and I am personally responsible for all risks associated with this travel. If I participate in carpooling with other Hunt participants, then I do so entirely at my own risk and without any right to claim against GHHC for any loss, damages, or personal injury whatsoever I may suffer. I agree to assume all of the risks and responsibilities associated with my transportation to and from any Hunt location; and

• I represent that I am in good physical health and capable of participating in the GHHC Hunt I have chosen to attend, and that my skills and equipment are adequate for me to participate safely in the GHHC Hunt.

• I understand and acknowledge that GHHC is relying on the foregoing Representations and Acknowledgements and would not allow me to participate in a Hunt without me making these representations and being physically capable of participation in a Hunt.

2. Assumption of Risk. I have read the previous paragraphs and I know, understand, and appreciate these and other risks that are inherent in a Hunt. I hereby assert that my participation is voluntary and that I knowingly assume all such risks. I voluntarily, knowingly, and expressly

Waiver of Liability, Assumption of Risk, Covenant Not to Sue, and Indemnification AgreementEXPRESSLY LISTED in this agreement that are part of the Hunts, and any harm, injury or lost that may occur to me or my property as a result of my participation in the Hunts or during any transportation to or from the Hunts—including any injury or loss caused by the negligence of

GHHC, Owner, Outfitter, or their officers and directors, agents, Club members, other Hunt participants, volunteers and anyone else directly or indirectly connected with the GHHC Hunts.

3. Release of Liability. I hereby RELEASE GHHC, Owner, and Outfitter, their officers and directors, Club members, volunteers, heirs, agents, leaders, other Hunt participants, and anyone else directly or indirectly connected with GHHC, Owner and Outfitter (hereinafter referred to as “the Released Parties) FROM ALL LIABILITIES, CAUSES OF ACTION, CLAIMS AND DEMANDS that arise in any way from any injury, death, loss, or harm that occur to me or to any other person or to any property during the Hunts or in any way related to the Hunts, including during transportation to or from the Hunts. This RELEASE includes claims for the sole or concurrent negligence of the Released Parties and claims for strict liability for abnormally dangerous activities. This RELEASE does not extend to claims excluded from being waived by law. I also agree NOT TO SUE or make a claim against the Released Parties for death, injury, loss, harm, or property damage or destruction which occur during the Hunts or are related in any way to the Hunts.

4. Covenant Not to Sue. I will not initiate any lawsuit, court action, or other legal proceeding against the Released Parties (defined in Section 3), nor join or assist in the prosecution of any claim for money damages which anyone may have, on account of injuries (including death), losses, or damages sustained by me or others in connection with my participation in orattendance at any GHHC Hunt, and I waive any right I may have to do so. This means that I cannot sue to hold the Released Parties responsible for any injuries, losses, or damages that I may experience related to GHHC Hunts, even if due to the sole or concurrent negligence or other fault of the Released Parties. I waive my insurers' right to make a claim against the Released Parties based on payments by insurers to me or on my behalf for any reason. This means that my insurers have no right of subrogation against the Released Parties.

5. Indemnification. I promise to DEFEND, HOLD HARMLESS, AND INDEMNIFY the Released Parties (defined in Section 3) against any and all claims, actions, suits, procedures, costs, attorneys’ fees, expenses, damages and liabilities, including claims resulting from the sole or concurrent negligence of GHHC, brought as a result of my involvement in any Hunt. I also promise to DEFEND, HOLD HARMLESS, AND INDEMNIFY the Released Parties against any and all claims for my own negligence, and any other claim arising from my conduct during the Hunts. I agree that in the event of my death or disability, the terms of this agreement, including the indemnification obligation in this Section, will be binding on my estate, and my personal representative, executor, administrator or guardian will be obligated to respect and enforce them.

6. Exclusion from Outings. I understand that the GHHC reserves the right to exclude from any GHHC Hunt any person considered by GHHC officers or agents to be incapable of meeting the rigors of participating in a Hunt, or who refuses or is unwilling to follow the directives sets out by GHHC for a Hunt.

Waiver of Liability, Assumption of Risk, Covenant Not to Sue, and Indemnification Agreement7. Severability. I agree that the purpose of this agreement is that it shall be an enforceable RELEASE OF LIABILITY AND INDEMNITY as broad and inclusive as is permitted by law. I agree that if any portion or provision of this agreement is found to be invalid or unenforceable, then the remainder will continue in full force and effect. I also agree and instruct any court of law interpreting the legality of this agreement to modify any invalid provision to the maximum extent permitted by law to carry out the purpose and intent of the agreement.

I have executed this agreement freely and voluntarily after having read this agreement in its entirety. I freely and voluntarily agree to participate in GHHC Hunts. I also understand this agreement will remain in effect so long as I continue to participate in GHHC Hunts and that its terms shall survive past any applicable statute of limitations.
